In deze functie ligt de focus op het behandelen van conflictsituaties tussen aandeelhouders en bestuurders en het actief begeleiden en opvolgen van gerechtelijke procedures van A tot Z.

Als Junior Legal Associate zijn dit je belangrijkste taken en uitdagingen:

  • Samen met de projectmanagers ben je verantwoordelijk voor alle juridische aspecten van een dossier: opmaken sterkte / zwakte analyse van de positie van de klant, due diligence, opstellen van juridische documenten (zoals aandeelhoudersovereenkomsten of familiecharters, overeenkomsten voor aandelenoverdracht, optieovereenkomsten, notulen van bedrijfsorganen, LOI, NDA), het voorbereiden van presentaties, het opstellen van memo’s, het opstellen en uitleggen van de strategie aangepast aan de situatie van de klant, enz.
  • Jouw voornaamste taken zullen zich toespitsen op het behandelen van conflictsituaties in ondernemingen en tussen aandeelhouders of
    bestuursleden (posities en strategieën analyseren, begeleiden van onderhandelingen, opstarten en begeleiden van bemiddeling…). Daarnaast zal je gerechtelijke procedures begeleiden en opvolgen.
  • Je neemt deel aan vergaderingen met klanten, aan onderhandelingen, of assisteert Project Managers en de klanten bij bestuurs- en aandeelhoudersvergaderingen.
  • Je bent actief betrokken bij het werven van nieuwe klanten, het bijwonen van marketingevenementen en het leveren van bijdragen aan publicaties en nieuwsbrieven van deminor NXT.

 

Jouw profiel

  • Je hebt een Master in de Rechten.
  • Je bent een teamspeler, met een sterke ambitie om ons te helpen ons bedrijf verder te ontwikkelen.
  • Je hebt 2 tot 5 jaar praktijkervaring als advocaat, jurist of in een juridische afdeling van een advieskantoor.
  • Je hebt relevante ervaring in het vennootschapsrecht.
  • Kennis van fiscaal recht is een pluspunt (estate planning, vennootschapsbelasting).
  • Je hebt uitstekende analytische en redactionele vaardigheden.
  • Je spreekt uitstekend Nederlands en je hebt een goede kennis van Engels en / of Frans.
  • Je heb ervaring met WordExcelPowerPoint en met juridische databases (zoals Strada).

  • werken vanuit ons kantoor in Gent, maar ook actief zijn op projecten die door ons team in Brussel worden behandeld
  • deelnemen aan alle fasen van een dossier: van de presentatie van een nieuwe opdracht tot de voltooiing van een transactie
  • deel uitmaken van een toegewijd team van professionals (juridische en financiële profielen)
  • uiteenlopende opdrachten behandelen, zowel voor aandeelhouders, bestuurders, investeerders, oprichters, familiebedrijven, beursgenoteerde als niet-beursgenoteerde bedrijven…

Who you are

Are you the colleague we are looking for?

Key Responsibilities

  • You will be part of our financial team in charge and perform assignments for shareholders, directors, investors and entrepreneurs.
  • You will develop and use your fields of expertise, i.e. M&A transactions, valuations, preparing financial analysis and dashboards, business plan review, building up cash-flow models, fairness opinions, market research, etc. And you will draft and review business plans, information memoranda and valuation reports for startup clients.
  • You will build financial models and carry out financial analyses of corporate accounts, sector or industries.
  • Participate in or take the lead in client meetings, negotiations and assist clients at board and shareholders meetings.
  • You will be actively involved in acquiring new clients, attending marketing events and contributing to deminor NXT publications and newsletters. 

 

Your profile

  • Master’s degree in Finance, Economics or a related field.
  • At least 3 years ‘on the job’ experience in corporate finance, private equity, M&A, or similar environment.
  • Relevant experience in deal-making, knowledge of corporate finance techniques (valuation, budgeting).
  • Results-driven attitude combined with strong analytical skills.
  • You are fluent in Dutch and have an excellent knowledge of French and English (written and spoken).
  • A team player with business development ambition.
  • Flexibility, proactive approach and reliability.
  • Strong understanding of Excel and the Office suite is a must.
  • You will work from our office in Ghent, but have no problem going to our office in Brussels from time to time.
