Evaluation of board & governance bodies

Deminor NXT > Services > Governance > Evaluation of board & governance bodies

A company evolves gradually and is constantly exposed to new challenges. Its board has the responsibility to deal with it together with management. A periodic evaluation of the competences and functioning of those bodies is therefore an ideal tool to improve the company’s performance in the future.

As an expert in corporate governance, deminor NXT has developed a simple method to practically evaluate your governing and management bodies. Based on the working points identified, we formulate concrete recommendations and help choose the appropriate structure, operating rules and division of tasks. A necessity for every growing company and family business.

Questions you may be asking yourself

Does the current composition of the governing body meet the current needs and challenges of the company?
Is my company ready for external, independent directors?
Are the various (family) shareholders adequately represented by the board?
Is the directors' remuneration in line with the market?
Are the meetings sufficiently efficient?
What is expected from a chairman of the board?
How many meetings should we provide?

When talking about good governance, it is crucial to regularly evaluate the board members (in terms of remuneration, individual contribution and profile) as well as the internal functioning of the governing body (in terms of cooperation, information provision and mutual trust).

The board’s relationships with other stakeholders – such as management, shareholders and employees – should also be part of that evaluation.

Situations you may find yourself in

There is a need for more professional governance with clear operating rules.
The division of tasks and competences between the board and management is unclear.
One or more members of the governing body occupy a dominant role.
New knowledge and expertise are needed after changing circumstances and challenges within the company.
The chairman takes too few initiatives.
Specialised committees should be set up.

Our approach

Step 1

We schedule a meeting with the chairman of the board and/or the managing director and prepare an electronic questionnaire that responds to the context of your company.

Step 2

We send the questionnaire to the board members, with sufficient explanation and instructions and state a deadline for completing the questions. This is preferably done anonymously and with the guarantee of confidentiality.

Step 3

We receive the individual answers.

Step 4

We process the responses and present the results, our conclusions and our recommendations to the board via an extensive report.

Step 5

We provide the necessary follow-up and guidance for the development of concrete recommendations.
